Terms of Service

Welcome to FDSmax LinkMera (“LinkMera”, “we”, “our”, “us”), operated by FDSmax. By accessing or using LinkMera at linkmera.com or its associated mobile and desktop applications, you agree to be bound by these Terms of Service (“Terms”).

1. Acceptance of Terms

By creating an account, accessing, or using any part of the LinkMera platform, you confirm that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using LinkMera on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Services

LinkMera provides a comprehensive platform connecting local communities, local services, AI business planning, startup fundraising, confidential business deals, and secure digital boardrooms that enables organisations, founders, directors, shareholders, investors, and entrepreneurs to:

  • Create and manage organisation profiles
  • Pass board resolutions and proposals electronically
  • Vote on resolutions with configurable voting rights
  • Generate digitally signed board resolution documents in PDF format
  • Post and respond to confidential business deal proposals (M&A, investments, partnerships)
  • Sign online Non-Disclosure Agreements (NDAs)
  • Use our online facilitation platform to manage business deal workflows and settlement
  • Manage investment portfolios and shareholder information

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials including your PIN, OTP, and any security tokens. You agree to notify us immediately at meet@linkmera.com of any unauthorised access or use of your account.

You may create or be part of multiple Organisation Profiles. Each Organisation Profile is subject to the privileges and roles assigned by the Organisation Admin.

4. Subscription Plans and Payments

LinkMera offers both free and paid subscription plans. Paid subscriptions are processed through our payment partners including Stripe, PayPal, Razorpay, and PayU. All payments are in the base currency of the selected subscription plan, which may be USD, GBP, EUR, or INR depending on your country.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time from your account settings.

Communities Membership unlocks full access to Local Services and unlimited Communities, in addition to its other plan benefits. Any early-bird or promotional pricing shown on our Pricing page is offered at our discretion, applies to new subscriptions taken during the advertised window, and does not retroactively change the price of an existing subscription.

Communities Membership Refund Policy: The Communities Membership fee paid by a user cannot be refunded during the first 72 hours following joining and payment. A user may request a refund after 72 hours and up until 30 days from the payment date, provided that they have not posted any message (post, content, or comment) in any of the Communities (including work, educational, local, or interest communities). If a user has posted any message, post, content, or comment in any Community, it conclusively establishes that they have utilized their Communities Membership credit, and the payment is strictly non-refundable. 5. Local Communities and Local Services Compliance

LinkMera provides an online marketplace and communication platform that facilitates peer-to-peer interactions, community groups, and local service bookings.

5.1 Platform Facilitation Only: LinkMera acts solely as an online technology and e-commerce intermediary platform that connects service buyers and independent service providers on a platform commission or fee basis. LinkMera is not a service provider, employer, contractor, broker, or financial escrow agent for any Local Service. We do not perform, supervise, or control the provision of Local Services, nor do we guarantee the outcome, safety, legality, timeliness, or quality of any service booked through the platform.

5.2 Disclaimer of LinkMera Management Responsibility: LinkMera Management and FDSmax are not responsible or liable for any user-generated content, community messages, discussions, forum threads, advertisements, requirements (“Looking for”), service offerings (“Offering”), or deliverables provided by members.

5.3 Original Poster & Content Owner Responsibility: The original content owners and posters (the specific individual, user, or organization who posted the content, listing, or message) are solely, exclusively, and legally responsible and liable for their own posts, communications, claims, certifications, business licenses, representations, and services delivered. By posting content or offering services on LinkMera, you warrant that your content and offerings comply with all applicable local, national, and international laws and regulations and do not infringe any third-party rights.

5.4 Fair Usage, Access & Membership Credit Utilization: Joining a Community is free. Reading full community conversations and booking or contacting providers on Local Services requires an active Communities Membership. Unlimited Communities access is subject to fair usage — we maintain zero tolerance for spam, harassment, hate speech, or unsolicited commercial broadcasting. Publishing any message, update, post, content, or comment in any Community (whether a local neighborhood, work/company, educational/institution, or interest community) constitutes immediate utilization of your Communities Membership credit and access, which strictly precludes any subsequent refund of the membership fee.

5.5 Local Service Orders, Pre-Fulfillment Refunds & Dispute Mediation: For all other types of orders and payments including the Local Service orders, payments can be asked for the refunds immediately after the payment before fulfilling / delivering the order by the service providers, and the payments will be refunded on the day or next day depending on the mode of the payment. In most countries, the refunds will be issued on any day including the holidays. However, in some countries, the online payments do not function on the weekends and the national holidays, and hence the refunds will be issued on the next working day. If any disputes have been raised by the service provider or the customer on the order, then the refund may be delayed until the dispute is resolved through mediation between the customer and the service provider and the evidences submitted. In some cases, the physical inspection by LinkMera's Local Agent (Local Agency / Franchisee) and their live visual recordings may be used to decide about the refunds whether partial or full refunds be issued. The decision by the LinkMera Centralised Support team will be final.

5.6 Reporting Abuse, Violations & DMCA Takedown Requests: If you discover any content, message, profile, or service listing on LinkMera that violates these Terms, constitutes abuse, harassment, fraud, or defamation, or infringes your intellectual property rights (including copyright infringement under the Digital Millennium Copyright Act — DMCA), you must report it immediately to our dedicated Trust, Safety & Legal team at:

For DMCA takedown requests, please include: (a) identification of the copyrighted work claimed to be infringed; (b) the specific URL or location of the infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorized; and (e) your physical or electronic signature. LinkMera reserves the right to promptly review, remove, or disable access to infringing or abusive content and terminate repeat infringer accounts.

6. Business Deals Platform Facilitation

The Business Deals Platform provides an online venue connecting parties interested in mergers, acquisitions, investments, and partnerships. LinkMera operates solely as an online facilitation platform on a 1% platform commission fee basis to facilitate connections, digital NDA workflows, and payment settlements between buyers and sellers. LinkMera is an online platform facilitator, not a bank, depository, or licensed escrow trustee, and does not provide legal, financial, tax, or investment advice.

All deal proposals posted anonymously will remain confidential until both parties mutually agree to disclose their identities, typically after signing an online NDA through the platform.

7. Prohibited Activities

You agree not to:

  • Use LinkMera for any unlawful purpose or in violation of applicable laws
  • Post false, misleading, or fraudulent information about your organisation or business
  • Attempt to gain unauthorised access to other users' accounts or data
  • Use LinkMera to engage in money laundering or other financial crimes
  • Reverse-engineer, copy, or replicate any part of the LinkMera platform
  • Upload or share content that infringes intellectual property rights
  • Post spam, or misrepresent your identity, education, or work affiliation in a Local Community

8. Confidentiality

LinkMera takes the confidentiality of your board decisions and business information seriously. All data is encrypted at rest and in transit. We do not share your private organisation data, resolutions, or deal information with any third parties without your explicit consent, except as required by law.

9. Intellectual Property

All content, design, code, and trademarks on LinkMera are the property of FDSmax unless otherwise noted. You retain ownership of all content you upload, create, or submit through the platform.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FDSmax and LinkMera Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of LinkMera, including but not limited to loss of profits, data, or business opportunities, and including any claims, damages, disputes, or losses arising from member-generated content in Local Communities or peer-to-peer Local Services transactions facilitated through the platform.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where FDSmax is registered, without regard to its conflict of law principles.
